1. The agreement
These Terms of Use (“Terms”) are an agreement between you and Paper Giants Publishing, LLC, an Ohio limited liability company (“Paper Giants,” “we,” “us”). They cover the Panequill app for iPhone, iPad and Mac, the Panequill Player app for Apple TV, the Panequill service that connects them, and panequill.com (together, “Panequill”).
Your license to the apps you download from the App Store is also governed by Apple’s Licensed Application End User License Agreement (the “Apple EULA”). These Terms add to the Apple EULA. If they conflict, these Terms apply to the extent the Apple EULA allows.
By using Panequill you agree to these Terms and to our Privacy Policy. If you use Panequill for an organization, you agree on its behalf and confirm you have the authority to do so. In that case, “you” includes the organization.
2. Who can use Panequill
You must be at least 18, or the age of majority where you live, and able to form a binding contract. Panequill is not for children. You may not use Panequill if the law prohibits it, including US sanctions laws.
3. Accounts and organizations
- You sign in with Sign in with Apple. You’re responsible for activity on your account and for keeping your Apple Account secure.
- Each account belongs to one or more organizations. An organization’s Owners manage its plan and team, Editors manage screens, publish and send alerts, and Viewers see screens and reports.
- Owners are responsible for who they invite and what role each person has. Anyone with a role can act for the organization within that role.
- Only an Owner or Editor can connect an Apple TV to an organization. Connect only screens you own or have permission to use.
- You can delete your account at any time in the app (More → Delete Account…), as described in our Privacy Policy.
4. Plans and subscriptions
Free. Free includes one screen, every widget and template, and shows a small “Made with Panequill” watermark.
Pro and Business are auto-renewing subscriptions sold through Apple’s App Store in packs of 1, 3, 5, 10 or 25 screens, billed monthly or yearly. The price and length of each plan are shown in the app before you buy. Business adds emergency alerts, proof-of-play reports and team roles.
- Payment is charged to your Apple Account when you confirm the purchase.
- Your subscription renews automatically at the same price and for the same length unless you turn off auto-renew at least 24 hours before the end of the current period. Your account is charged for renewal within the 24 hours before the current period ends.
- You can manage or cancel your subscription in your Apple Account settings, or in Panequill under More → Plan → Manage Subscription. Cancelling stops the next renewal. You keep your plan until the end of the period you’ve paid for.
- Only an organization’s Owner can buy a plan. A plan applies to the organization it was bought for, not to a person.
- If a plan ends, the organization moves to Free. Your content stays in place, but screens beyond the Free limit show “This screen isn’t included in your plan.” until you subscribe again or remove screens.
- If we change the price of a plan, Apple will notify you as its rules require, and you can cancel before the new price applies.
- Refunds are handled by Apple. See Refunds & Cancellations.
Nothing is sold in Panequill Player on Apple TV.
5. Your content
“Your content” means everything you or your organization add to Panequill: text, images, video, PDFs, captions, links, widget settings, schedules and alert messages.
- You own your content. You give Paper Giants a worldwide, non-exclusive, royalty-free license to host, store, copy, process, convert and display your content. We use this license only to run Panequill for you, for example to convert video for Apple TV or deliver it to your screens. The license ends when your content is deleted from the service, apart from routine backups that age out.
- You confirm you have the rights and permissions to publish your content, including any music, images, logos, and the names or likenesses of people, students among them.
- Your content is shown on displays that the public may see. You are responsible for what appears on your screens.
- Templates and sample content we provide may be used to make signage with Panequill.
6. Acceptable use
You agree not to use Panequill to:
- publish content that is unlawful, defamatory, harassing, hateful, sexually explicit, or that infringes anyone’s rights;
- publish false emergency alerts, or alerts meant to cause panic;
- show content on a screen you don’t have permission to use;
- break, probe or overload the service, try to guess screen codes or access other organizations’ data, or get around plan limits;
- reverse engineer the apps, except where the law allows despite this limit; or
- resell or rent Panequill as a standalone service without our written permission.
We may remove content or suspend access that breaks these rules. Where it’s reasonable, we’ll tell you first.
7. Emergency alerts
Business plans can send emergency alerts to connected screens. Panequill alerts add to, and never replace, your official emergency notification systems. Follow your organization’s own procedures.
Alerts reach a screen only if it is powered on, running Panequill Player and connected to the internet. Screens with an open live connection show an alert right away. Others show it the next time they check in, normally within a minute. Delivery can be delayed or prevented by power, network, device, Apple or provider outages. Do not rely on Panequill as the only way to warn people of danger.
8. Third-party services and content
Panequill works with services we don’t control, including Apple (Sign in with Apple, iCloud, the App Store and WeatherKit) and the feeds, calendars and spreadsheets you link to in widgets. Your use of those services is governed by their terms. We’re not responsible for their availability or for the accuracy of data they provide, such as weather, headlines or calendar events. Weather data is provided by Apple Weather, with its attribution shown in the widget.
9. Availability and changes
We work to keep Panequill running, and screens keep playing their saved content when the network is down. Even so, Panequill may sometimes be unavailable for maintenance, updates or reasons outside our control. We may change, add or remove features. If we make a change that materially reduces a paid plan, we’ll give reasonable notice. Panequill Player requires an Apple TV running tvOS 18 or later. The Panequill app requires iOS 18, iPadOS 18 or macOS 15 or later.
10. Our property
Panequill, including its apps, service, templates, design and the Panequill name and logo, belongs to Paper Giants and is protected by law. These Terms don’t give you any rights to our trademarks. If you send us feedback, we may use it without obligation to you.
11. Ending your use
You may stop using Panequill and delete your account at any time. We may suspend or end your access if you seriously or repeatedly break these Terms, if the law requires it, or if your use creates risk for others. Where reasonable, we’ll give notice first. When an organization is deleted, its screens are disconnected and delete their downloaded content. Sections 5 (license, until deletion), 10, 12, 13, 14, 16 and 17 survive.
12. Disclaimers
Panequill is provided “as is” and “as available.” To the fullest extent the law allows, Paper Giants disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We don’t promise that Panequill will be uninterrupted, error-free or always deliver content or alerts on time.
Some places don’t allow these exclusions, so some may not apply to you.
13. Limitation of liability
To the fullest extent the law allows, Paper Giants will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to Panequill. Paper Giants’ total liability for all claims related to Panequill is limited to the greater of (a) the amount you paid for Panequill in the 12 months before the claim arose, or (b) US $100.
These limits don’t apply where the law forbids them, such as liability for gross negligence, willful misconduct, or death or personal injury caused by negligence.
14. Indemnity
If you use Panequill for a business or organization, you’ll defend and indemnify Paper Giants against third-party claims arising from your content or from your breach of these Terms. This includes reasonable legal fees.
15. Apple terms
You acknowledge that:
- these Terms are between you and Paper Giants only, not Apple, and Paper Giants, not Apple, is solely responsible for Panequill and its content;
- Apple has no obligation to provide maintenance or support for Panequill;
- if Panequill fails to meet any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. Apple has no other warranty obligation for Panequill;
- Apple is not responsible for any claims relating to Panequill, including product liability claims, claims that it fails to meet legal or regulatory requirements, and consumer protection, privacy or similar claims;
- Apple is not responsible for investigating, defending, settling or discharging any claim that Panequill infringes a third party’s intellectual property rights;
- you confirm you are not located in a country subject to a US Government embargo or designated as “terrorist supporting,” and you are not on any US Government list of prohibited or restricted parties; and
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
16. Governing law and disputes
These Terms are governed by the laws of the State of Ohio and applicable US federal law, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Ohio, and you and Paper Giants consent to their jurisdiction. Before filing a claim, please email us so we can try to resolve it informally. If you are a consumer in a country whose laws give you the right to bring claims in your local courts, or under your local law, nothing here takes away that right.
17. General
These Terms, the Privacy Policy and the Apple EULA are the entire agreement between you and Paper Giants about Panequill. If any part of them can’t be enforced, the rest still applies. If we don’t enforce a right, we haven’t waived it. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets. We may update these Terms by posting a new version here. We’ll give advance notice in the app or by other reasonable means if a change is significant. Continuing to use Panequill after a change takes effect means you accept it.
